Legal advice for businesses in Romania: contracts, GDPR and compliance

We help you make informed decisions before you sign, invest or enter a dispute, through one-off advice or an ongoing retainer.

Legal advice, contracts and compliance

Most disputes start with a contract drafted in a hurry, a template downloaded from the internet or a verbal arrangement. A clear contract, which states exactly who does what, by when, with what guarantees and what happens if one party fails to perform, costs far less than the court case it can prevent. The same applies to the general terms you accept from suppliers, banks or platforms without reading them closely.

We work with entrepreneurs, small and medium-sized companies, foreign investors and individuals. Some ask for a one-off review before an important signature; others prefer an ongoing retainer, so they have a lawyer who already knows their business and can answer day-to-day questions quickly. In both cases you receive clear written answers, focused on the decision you have to make.

Beyond contracts, we support you with data protection compliance, the protection of trademarks and other intellectual property, and negotiations. For foreign clients we work in English and explain how Romanian law differs from the system they are used to. The aim is always the same: decisions taken with full knowledge of the facts and the risks identified early.

FAQ

Frequently asked questions

How does a legal retainer work?

We agree the expected volume of work and a fixed monthly fee, set out in a legal assistance agreement. Within the agreed limits, you can ask us to review contracts, draft documents and answer everyday questions without negotiating each request separately. Litigation and complex projects can be covered by a separate agreement. The retainer is tailored to the size and activity of your business.

Is a contract template from the internet good enough?

A template can be a starting point, but it rarely fits the actual situation. It usually lacks key clauses on deadlines, acceptance, penalties, limitation of liability or termination, and some provisions may even conflict with Romanian law. A legal review before signing is generally far cheaper than a dispute.

What does a small business need to do for GDPR compliance?

It needs to know which personal data it processes, for what purpose and on what legal basis, inform the people concerned, sign agreements with providers processing data on its behalf and take appropriate security measures. The amount of documentation depends on the business. We start from what you actually do and prepare the right documents, without unnecessary formalities.

Do you work with foreign clients in English?

Yes. We provide advice, correspondence and drafting in English for foreign companies and individuals. We explain how Romanian law and procedures work, and where the law requires documents in Romanian we work with certified translators. Contracts can also be drafted in a bilingual Romanian and English format.
